Terms of Service

PREPARE YOUR COMMUNITY (“PYC”) WITH A BUSINESS ADDRESS IN KITSAP COUNTY, WASHINGTON, USA, IS PLEASED TO PERMIT USER (EITHER YOU INDIVIDUALLY OR, IF YOU ARE AUTHORIZED TO ACT FOR A COMPANY, THAT COMPANY) TO ACCESS AND USE THE PYC PLATFORM SUBJECT TO THE TERMS AND CONDITIONS SET OUT BELOW. THIS IS A LEGAL AGREEMENT.

BY CLICKING “I AGREE”, OR BY ACCESSING OR USING THE PLATFORM, USER ACCEPTS AND AGREES TO BE BOUND BY THIS AGREEMENT (“Agreement”). IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

KEY DEFINITIONS


“Platform”: PYC’s proprietary web and mobile software, databases, APIs, SOP templates, dashboards, and any updates thereto.

“Services”: Access to, and support for, the Platform plus any ancillary services PYC agrees to provide.

“User”: The individual or legal entity entering this Agreement.

“Affiliate”: Any entity that Controls, is Controlled by, or is under common Control with User and that PYC has approved in writing to use the Platform. “Control” means > 50 % voting or ownership interest.

“Confidential Information”: Non‑public information marked or reasonably understood as confidential, including emergency‑response data sets and credentials.

“Personal Information”: Data that identifies or could reasonably identify an individual, as defined in the Privacy Policy.

1.  License Grant

Subject to payment of all applicable fees (if any) and User’s ongoing compliance:

  • PYC grants User a personal, non‑exclusive, non‑transferable, terminable license (sublicensable only to approved Affiliates) to access and use the Platform solely for community emergency‑preparedness activitiesuntil the earlier of: (i) expiration of the Services term, or (ii) termination under Section 10.
     

  • User must ensure that only its employees, contractors, or approved Affiliates access the Platform and only for the permitted purpose.
     

2.  Restrictions on Use

User shall not, and shall ensure Affiliates do not:

  • Interfere with or degrade the Platform, breach security, or attempt to avoid usage limits.
     

  • Use the Platform to commit unlawful acts, resell access, or provide it to third‑party agencies unless PYC gives prior written consent.
     

  • Remove proprietary notices, circumvent technical safeguards, or exceed any data‑pull quotas.
     

3.  No Reverse Engineering

Except to the extent prohibited by law, User shall not—and shall not permit others to—translate, decompile, disassemble, or otherwise Reverse Engineer the Platform.

4.  Confidential Information

Any emergency‑response playbooks or other materials flagged as confidential may be used only for local preparedness planning and may be shared internally on a strict need‑to‑know basis. Protective measures must be at least reasonable and industry‑standard.

5.  Ownership

PYC retains all right, title, and interest in the Platform and its methodologies. User owns its own uploaded data but grants PYC a license as set out in Section 6.

6.  PYC’s Right to Use Data

  • Operational Use. User grants PYC a worldwide, royalty‑free license to host, process, and display any data User inputs for the sole purpose of operating and improving the Services.
     

  • Anonymized Insights. PYC may create de‑identified, aggregate statistics (“Extracted Data”) to analyze preparedness trends; Extracted Data contains no Personal Information and survives termination.
     

7.  User Warranties & Privacy Compliance

User warrants that:

  • All uploaded data complies with applicable laws and third‑party platform rules.
     

  • User has obtained any necessary consents for PYC to process Personal Information as described in the Privacy Policy.
     

  • Content does not infringe intellectual‑property or privacy rights.
     

8.  Technical Support

PYC endeavors to provide reasonable email support during U.S. business hours but does not guarantee 24 × 7 availability.

9.  Disclaimer: Not an Emergency Service

THE PLATFORM IS NOT A 911 OR FIRST‑RESPONDER SERVICE. In an actual emergency, dial 911 or your local authorities.

10.  Term & Termination

  • Either party may terminate for material breach upon written notice if the breach is not cured within 30 days.
     

  • User may terminate at will by written notice; PYC may suspend access immediately for security threats.
     

  • Sections 3‑7, 12‑20, 22‑24 survive termination.
     

11.  Changes to Agreement

Material changes will be emailed or posted 30 days before they take effect. If User objects, User may terminate under Section 10; pro‑rated unused fees (if any) will be refunded.
 

12.  Governing Law

This Agreement is governed by the laws of the State of Washington and applicable U.S. federal law, without regard to conflict‑of‑law rules. Exclusive venue lies in the state or federal courts located in Kitsap County, WA. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Injunctive Relief

A breach of Sections 2‑4 may cause irreparable harm; PYC may seek injunctive relief without posting bond.

14.  Assignment

User may not assign this Agreement without PYC’s prior written consent. PYC may assign in connection with a merger or sale of substantially all assets.

15.  Third‑Party Cloud Services

PYC uses providers such as AWS and Azure. Except for PYC’s own acts or omissions, PYC is not liable for those providers’ performance.

16.  No Implied Warranties

EXCEPT AS EXPRESSLY SET FORTH, THE PLATFORM IS PROVIDED “AS IS” WITH NO WARRANTIES—EXPRESS OR IMPLIED—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.

17.  Limitation of Liability

PYC’S AGGREGATE LIABILITY SHALL NOT EXCEED USD 150 OR THE AMOUNT PAID BY USER IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. PYC IS NOT LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES.

18.  Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control (e.g., natural disasters, war, internet outages).

19.  Severability

If any provision is held unenforceable, the remainder remains in effect.


20.  Entire Agreement

This Agreement supersedes all prior discussions or proposals and may be amended only in writing signed by both parties.

21.  Authority

Neither party may bind the other to obligations outside this Agreement.

22.  Notice

Legal notices must be in writing and delivered by hand, courier, or registered mail to the addresses on file, with email copies to hello@prepareyourcommunity.com.

23.  Counterparts

This Agreement may be executed electronically and in counterparts.
